1. General provisions and definitions
1.1. This document is a public offer (hereinafter — the "Agreement") of "Third Space", a legal entity registered in the Republic of Uzbekistan (hereinafter — the "Company", "we"), addressed to any person with legal capacity (hereinafter — the "User", "you"), and sets out the terms of use of the QoyHunter service.
1.2. In accordance with Articles 367–369 and 370 of the Civil Code of the Republic of Uzbekistan, this Agreement constitutes a public offer. The User's performance of the actions specified in Section 3 (registration and/or the start of use of the Service) is deemed full and unconditional acceptance of the offer.
1.3. Definitions: Service / QoyHunter — a software suite for farm management (records of sheep and rams): the web application, the Telegram bot and Mini App, the website and the API. Account — the User's data for identification and access. Farm — a workspace (animals, finance, feed, health, team). User Content — data uploaded or created by the User. Tariff/Subscription — the scope of features and limits. Privacy Policy (the "Policy") — https://qoyhunter.com/privacy, an integral part of the Agreement.
1.4. By using the Service you confirm that you have read the Agreement and the Privacy Policy, understood them and accepted them. If you do not agree — stop using the Service.
2. Subject matter
2.1. The Company grants the right to use the Service within the scope of the selected Tariff; the User complies with the Agreement and, for paid Tariffs, pays for the Service.
2.2. SaaS model: remote access over the Internet without transfer of exclusive rights to the software.
2.3. Features: animal records (ear tags, weight, pedigree, photos), finance, feed, health and medications, shearing, a team with roles, notifications via the Telegram bot, analytics and export. The set of features depends on the Tariff.
3. Registration and account
3.1. Registration is required: phone/login, name and, for Telegram features, the Telegram ID/username. On registration by phone/login an e-mail address is mandatory and is confirmed by a code sent in a letter — access to the Account is recovered through e-mail. The password is stored as an irreversible hash.
3.2. The User provides accurate data and keeps it up to date.
3.3. The User keeps the credentials confidential. All actions performed under the account are deemed performed by the User. Report unauthorised access immediately to help@qoyhunter.com.
3.4. One User may create and belong to several Farms. The owner manages the composition of the team and its permissions (roles).
3.5. Persons under 18 — only with the consent and under the responsibility of their legal representatives.
4. Tariffs, subscriptions, payment, auto-renewal and cancellation
4.1. Free tariff with restrictions (limits on the number of animals, Farms, team members and features). Its composition is determined by the Company and may change.
4.2. Paid tariffs — recurring (monthly/annual). The current prices and the composition of the paid tariffs are published in the Service and on the website and form an integral part of the Agreement.
4.3. Payment — through payment providers (Payme, Click, Uzum, Telegram Payments — as they are connected). The Company does not store full card details.
4.4. Auto-renewal. If enabled, the Subscription is renewed automatically at the price then in force, and the funds are charged on the date the paid period ends. It can be disabled at any time in the settings or with the provider.
4.5. Cancellation of the subscription. Upon cancellation: access to paid features remains until the end of the paid period; thereafter — the free tariff; data is not deleted, but if the limits of the free tariff are exceeded, access to part of the data or features may be restricted.
4.6. Refunds. Unless otherwise provided by the law of the Republic of Uzbekistan: amounts paid for the current period are not refunded (access is retained until the end of the period); the Company may issue a refund in the event of prolonged unavailability through its fault or of an erroneous or duplicate charge; a request is sent to help@qoyhunter.com, and the refund is made by the same method.
4.7. Price changes apply to future periods; advance notice is given of a material change to an active Subscription and, if the User does not agree, the User may decline renewal.
4.8. Prices are stated in the currency of the Service; taxes and provider fees apply additionally as required by law.
5. Rights and obligations of the parties
5.1. The Company may: change, restrict or discontinue features and Tariffs; carry out maintenance; suspend access in the event of violations; send service and informational messages.
5.2. The Company undertakes to: provide access within the scope of the Tariff; process personal data in accordance with the Policy; review enquiries.
5.3. The User may: use the Service under the Tariff; export data; delete a Farm or the Account (cascading).
5.4. The User undertakes to: comply with the Agreement and the law; ensure that the Content is lawful and that the necessary rights and consents exist (including the consents of team members); not disrupt the operation of the Service or infringe the rights of third parties.
5.5. The Farm owner determines the purposes and the composition of the data within the Farm and is responsible for the lawfulness of processing the data of their team; in that part the Company acts as a processor on the User's instructions.
6. Acceptable use and prohibitions
6.1. It is prohibited to: use the Service unlawfully or place unlawful Content in it; use malicious code, obtain unauthorised access, scan for vulnerabilities without permission, carry out DDoS attacks; create excessive load and scrape data beyond the features of the Service; decompile the software or circumvent limits; resell or lease access outside the "team"; impersonate another person; upload the personal data of third parties without a legal basis.
6.2. In the event of a violation — restriction of access and removal of unlawful Content.
7. Intellectual property
7.1. The Company's content (code, design, marks, "QoyHunter", materials) belongs to the Company; a limited, revocable, non-exclusive and non-transferable licence to use it for its intended purpose is granted.
7.2. User Content — the rights remain with the User; the Company is granted a limited, royalty-free and non-exclusive licence to store, process and display it solely for the purpose of providing the service (backup, synchronisation, analytics, export). The licence terminates once the Content is deleted (except for backup copies and statutory requirements).
7.3. The User warrants that they hold the rights necessary for the Content and shall hold the Company harmless against third-party claims.
7.4. The Company may use depersonalised and aggregated data to improve the Service.
7.5. The Service database and the prohibition of automated collection. The body of the Service's data — registry records, reference books, catalogues, selections and other structured materials — belongs to the Company as the maker of the database. Without the Company's written consent it is prohibited to: extract, copy, reproduce, distribute or re-use the database or a substantial part of it; collect the Service's data by automated means (robots, parsers, crawlers, emulation of user actions, mass calls to interfaces) beyond the features expressly provided by the Service; circumvent technical restrictions, request limits and protection measures. The Company may apply technical measures against such collection and restrict or terminate the violator's access (Section 12). This clause does not limit the User's rights to their own Content (clause 7.2) or the ordinary use of the Service by a person for its intended purpose.
8. Personal data
8.1. Processing is carried out in accordance with the Privacy Policy (an integral part) and the Law of the Republic of Uzbekistan "On Personal Data" (No. ZRU-547).
8.2. By accepting the offer, the User confirms that they have read the Policy and gives consent to the extent required.
9. Disclaimer of warranties and limitation of liability
9.1. The Service is provided "AS IS" and "AS AVAILABLE"; to the maximum extent permitted by law, without warranties of uninterrupted operation, fitness or data preservation beyond the measures set out in the Policy.
9.2. The Service is an auxiliary record-keeping tool; the Company is not responsible for the User's business, veterinary or financial decisions. The User is responsible for the accuracy of the Content.
9.3. The Company is not liable for: losses caused by the acts of third parties (providers, Telegram, hosting, cbu.uz); loss of data caused by the User's own actions; unavailability beyond its reasonable control.
9.4. Limitation of the amount of liability: aggregate liability is limited to the amount paid by the User for the last 3 months (for the free tariff, for which no payment is made — to the extent permitted by applicable law); the Company is not liable for lost profit or for indirect, punitive or incidental damages. This does not apply where such limitation is prohibited by law (wilful misconduct, harm to life or health).
9.5. Indemnity: the User shall indemnify the Company against losses arising from a breach of the Agreement, of the law or of the rights of third parties, including claims relating to the Content.
10. Force majeure
The parties are released from liability in the event of force majeure (natural disasters, hostilities, epidemics, acts of authorities, outages of communications or electricity, failures of the Internet, hosting or payment infrastructure, cyberattacks). The time for performance is extended by the duration of the force majeure.
11. Amendment of the terms and notice
11.1. The Company may amend the Agreement; the current version is published at https://qoyhunter.com/terms together with its date.
11.2. Advance notice of material changes (including of prices) is given through the Service, the bot or e-mail.
11.3. Continued use after the changes take effect constitutes agreement; if the User does not agree — the User stops using the Service.
12. Term, termination and blocking
12.1. The Agreement is in force from acceptance until the Account is deleted or the Service is discontinued.
12.2. The User may at any time stop using the Service, cancel the Subscription and delete the Account.
12.3. The Company may suspend or terminate access in the event of violations, a security threat, a demand from a competent authority or non-payment.
12.4. Deletion (cascading): when a Farm is deleted, the related data is deleted; when the Account is deleted — subject to the periods set by the Policy and by law (retention of payment and accounting data). Part of the data remains in backup copies. Deletion is irreversible; exporting the data beforehand is recommended.
13. Governing law and disputes
13.1. The substantive law of the Republic of Uzbekistan applies.
13.2. A pre-trial claim procedure is mandatory: a claim is sent to help@qoyhunter.com; the period for its review is 30 calendar days.
13.3. If no agreement is reached, the dispute is considered by the competent court at the Company's registered address in the Republic of Uzbekistan. For Users who are consumers, jurisdiction is determined by the mandatory rules of consumer protection legislation and is not limited by this clause.
14. Final provisions
14.1. The invalidity of any part does not entail the invalidity of the remainder.
14.2. Failure to exercise a right does not constitute a waiver of that right.
14.3. The Company may transfer its rights and obligations to a legal successor, with notice.
14.4. The Agreement and the Policy constitute the entire agreement between the parties.
14.5. This is an English translation of the document executed in Russian and Uzbek. In case of any discrepancy in interpretation, the UZBEK version shall prevail.
